1. Introduction
This Licensing Policy explains the licensing terms that apply to Joomla templates and other downloadable products distributed by GeJay Media ("GeJay Media", "we", "us", or "our").
GeJay Media develops commercial and free products for Joomla, an open-source content management system. Because Joomla and software interacting with it may be subject to open-source licensing requirements, a GeJay Media template package may contain materials governed by different licenses.
This policy is intended to distinguish between:
- software code and other materials governed by an open-source license;
- GeJay Media materials that may be subject to separate copyright and licensing terms; and
- commercial services and benefits associated with a purchase or membership, including downloads, updates, and support.
This Licensing Policy should be read together with the GeJay Media Terms of Use, Support Policy, Refund Policy, applicable product information, and any terms presented at the time of purchase.
2. Joomla and Open-Source Licensing
Joomla is free and open-source software distributed under the GNU General Public License ("GPL"). GeJay Media respects the rights and obligations associated with Joomla and applicable open-source licenses.
Where code contained in a GeJay Media Joomla template is required to be distributed under the GPL because of its relationship with Joomla or other GPL-licensed software, that code is distributed under the applicable GPL terms.
Nothing in this Licensing Policy is intended to remove, restrict, or override rights granted to you directly under an applicable open-source license.
3. Composite Template Packages
A GeJay Media template may be distributed as a composite package containing different types of materials.
Depending on the product, these materials may include:
- PHP and other program code;
- HTML or template markup;
- CSS;
- JavaScript;
- graphics and design assets;
- icons;
- fonts or font-related resources;
- images;
- documentation;
- demonstration or sample content; and
- third-party libraries or other third-party materials.
Different portions of a package may be subject to different licenses. The license applicable to a particular file, asset, or component takes precedence over any inconsistent general statement in this policy.
4. GPL-Licensed Code
Code distributed by GeJay Media under the GNU General Public License may be used, studied, modified, and redistributed according to the terms of the applicable GPL version.
Where GPL licensing applies, your rights arise under the GPL and are not limited merely because you obtained the code through a paid GeJay Media product or membership.
Commercial purchase terms concerning downloads, updates, support, account access, or membership benefits are separate from the rights granted under the GPL to copies of GPL-licensed code that you have lawfully received.
5. GeJay Media Proprietary Materials
Unless otherwise stated or subject to an applicable open-source or third-party license, original GeJay Media materials that are legally capable of being licensed separately from GPL-covered code remain the intellectual property of GeJay Media.
These materials may include, where applicable:
- original graphics and visual assets;
- original images and photography;
- certain design assets;
- documentation and written materials;
- demonstration content;
- branding;
- product names and presentation materials; and
- other copyrightable materials not required to be distributed under an open-source license.
Unless a different license is expressly provided, purchasing or downloading a GeJay Media product does not transfer ownership of these materials to you.
You receive only the usage rights expressly provided by this policy, the applicable product terms, or another license accompanying the material.
6. Use of Proprietary Materials
Unless otherwise stated for a particular product, proprietary GeJay Media materials included with a lawfully obtained template may be used as part of websites on which you are lawfully using that GeJay Media product.
You may make reasonable modifications to those materials for the purpose of creating or operating your website.
Unless GeJay Media expressly permits otherwise, proprietary materials may not be:
- sold or licensed as standalone assets;
- redistributed as a competing template or digital product;
- extracted and repackaged for redistribution;
- included in a stock asset, template, theme, or design collection intended for redistribution;
- used to create a substantially identical competing commercial product; or
- represented as having been created by another person or business.
These restrictions apply only to materials over which GeJay Media has the legal right to impose them and do not restrict rights granted under the GPL or another applicable third-party license.
7. Individual Paid Template Purchases
An individual paid template purchase provides access to the purchased GeJay Media template together with commercial product benefits for one production website during the applicable entitlement period.
These commercial benefits may include:
- access to the applicable product download;
- product updates during the applicable entitlement period;
- ticket-based product support for the registered production website during the applicable support period;
- documentation and customer resources; and
- other benefits expressly included with the purchase.
Development, staging, testing, preview, and local installations reasonably used in connection with development or maintenance do not consume an additional production-website entitlement.
The duration and terms of the commercial entitlement will be stated on the applicable product, pricing, licensing, or checkout page.
The expiration of an update, download, or support entitlement does not disable an installed template or retroactively remove rights already granted under an applicable open-source license to copies of software lawfully received.
8. All Access Memberships
An active GeJay Media All Access membership provides access to eligible GeJay Media templates and other benefits identified as included with that membership.
Unless otherwise stated, each eligible template obtained through an All Access membership receives GeJay Media commercial product benefits for up to three production websites.
The three-website allowance applies separately to each eligible template. Using one GeJay Media template on three production websites does not prevent the member from using another eligible template on up to three production websites.
Development, staging, testing, preview, and local installations reasonably used for development or maintenance do not consume a production-website entitlement.
During an active membership, members receive the applicable downloads, updates, and ticket-based support associated with their eligible templates according to the membership terms.
When an All Access membership expires:
- access to member-only downloads may end;
- access to future product updates may end;
- ticket-based product support may end;
- access to newly released products may end; and
- other membership-only commercial benefits may end.
GeJay Media does not automatically disable an installed template merely because an All Access membership expires.
Expiration does not retroactively revoke rights already granted under an applicable open-source license to copies of software lawfully downloaded while the membership was active.
9. Updates
Access to product updates is a commercial benefit associated with an eligible active purchase or membership and is not an unlimited lifetime entitlement unless GeJay Media expressly states otherwise.
Updates may include compatibility changes, maintenance releases, bug fixes, security-related changes, refinements, or new features at GeJay Media's discretion.
GeJay Media does not guarantee that every product will receive a particular number of updates or that every requested feature will be added.
Customers whose update entitlement has expired may be required to renew the applicable product or membership to obtain newer versions.
10. Support
Direct product support is included with eligible paid GeJay Media templates and active All Access memberships according to the GeJay Media Support Policy.
Product support is provided through the GeJay Media Support Ticket System and is available only during the applicable support entitlement period.
Support is a commercial service and is separate from the rights granted under the GPL or another open-source license.
The right to use GPL-licensed code does not create an entitlement to receive support from GeJay Media.
Customization and custom development are not included with product support.
11. Free Templates
GeJay Media may make certain Joomla templates or other products available without charge.
Free products remain subject to the licenses applicable to the files and materials included with them.
Free templates may include documentation, FAQs, tutorials, and other self-help resources but do not include individual product support, as explained in the GeJay Media Support Policy.
GeJay Media may update, replace, or discontinue a free product or its associated downloads and resources at its discretion, subject to rights already granted under applicable open-source licenses.
12. Modifications
You may modify GPL-licensed portions of a GeJay Media template to the extent permitted by the applicable GPL terms.
You may also make reasonable modifications to separately licensed GeJay Media materials where permitted by this policy or the applicable product terms for use in your own website implementation.
Modifying a product does not transfer ownership of the original GeJay Media materials to you.
GeJay Media cannot guarantee support, compatibility, or future update behaviour for customer modifications. Support for modified products is subject to the GeJay Media Support Policy.
13. Redistribution
Redistribution rights depend on the license applicable to the particular material.
GPL-licensed code may be redistributed where and in the manner permitted by the applicable GPL.
Separately licensed proprietary GeJay Media assets may not be redistributed except where expressly permitted by their applicable license or by GeJay Media in writing.
You may not use the inclusion of GPL-licensed code in a package as a basis for claiming rights over separately licensed materials where those materials are legally capable of being licensed independently.
Similarly, nothing in this policy should be interpreted as imposing proprietary restrictions on material for which an applicable open-source license grants redistribution rights.
14. Third-Party Materials
GeJay Media products may include or interact with third-party libraries, fonts, icons, images, code, or other materials.
Third-party materials remain subject to their respective licenses and copyright notices.
Where appropriate, applicable license information may be included within the product files, documentation, attribution notices, or other materials accompanying the product.
You are responsible for complying with applicable third-party license terms when using or redistributing those materials.
15. Demo Content and Images
Product demonstrations may contain photographs, graphics, logos, text, or other sample content used to illustrate the appearance and capabilities of a GeJay Media template.
Unless expressly stated otherwise, demonstration content and imagery are not necessarily included with the downloadable product and are not automatically licensed for use on your website.
Where demo assets are included, their applicable usage rights or license terms will govern their use.
16. Joomla and Third-Party Trademarks
Joomla and other third-party names, logos, trademarks, products, and services referenced by GeJay Media remain the property of their respective owners.
Purchasing or downloading a GeJay Media product does not grant you ownership of or additional rights to Joomla trademarks or other third-party intellectual property.
Unless expressly stated otherwise, GeJay Media's products are independently developed and references to Joomla or other third-party products indicate compatibility, subject matter, or intended use rather than sponsorship or endorsement.
17. GeJay Media Branding
The GeJay Media name, logo, product names, website design, marketing materials, and other brand identifiers remain the property of GeJay Media or their applicable owners.
A product license does not grant permission to represent yourself or your products as GeJay Media, to imply an unauthorized partnership or endorsement, or to use GeJay Media branding in a manner likely to cause confusion about the source of a product or service.
18. Website Coverage, Development Sites, and Client Websites
18.1 Individual Template Purchases
Unless otherwise stated, an individual paid GeJay Media template purchase provides commercial product benefits for one production website.
These commercial benefits include access to applicable product downloads, updates, and ticket-based support during the active entitlement period.
The production website may be a website that you own or a website that you create or manage for a client.
If you wish to receive GeJay Media commercial benefits for the same template on additional production websites, an additional individual template entitlement or an eligible All Access membership may be required.
18.2 All Access Memberships
An active GeJay Media All Access membership provides access to eligible GeJay Media templates according to the applicable membership terms.
Unless otherwise stated, each eligible template obtained through an All Access membership receives GeJay Media commercial product benefits for up to three production websites.
The three-website allowance applies separately to each eligible template. For example, using one GeJay Media template on three production websites does not prevent the member from using another eligible template on up to three production websites.
Commercial benefits for eligible production websites include applicable product downloads, updates, and ticket-based support during the active membership period.
18.3 Development and Staging Websites
Development, staging, testing, preview, and local installations do not consume a production-website entitlement.
This includes temporary or non-production installations reasonably used to develop, test, configure, maintain, troubleshoot, or prepare a website before deployment to its production environment.
A development or staging installation does not require a separate GeJay Media commercial template entitlement merely because the template is installed for legitimate development or testing purposes.
A website that is being used as a normal live production website is not considered a development or staging environment merely because it is located on a subdomain, temporary domain, development domain, or other non-standard address.
18.4 Client Websites
Designers, developers, agencies, and other professionals may use an applicable GeJay Media template when creating a website for a client, subject to the production-website allowance associated with the applicable individual purchase or All Access membership.
Support requests must be submitted through the GeJay Media customer account holding the applicable active entitlement. A client's use of a website created with a GeJay Media template does not automatically provide the client with a separate GeJay Media customer account, download entitlement, update entitlement, or direct support entitlement.
If responsibility for a client website is transferred and ongoing GeJay Media downloads, updates, or support are required independently of the original account holder, an appropriate GeJay Media entitlement may be required for the new account holder.
18.5 Expiration and Renewal of Commercial Entitlements
Individual template entitlements and All Access memberships must be renewed before their applicable expiration date in order to continue as a renewal.
Before an entitlement expires, GeJay Media may send a renewal reminder and may offer a renewal discount or other incentive. Renewal offers, discounts, and other renewal terms are available only as stated in the applicable renewal offer and may require renewal before the existing entitlement expires.
If an individual template entitlement or All Access membership is not renewed before its expiration date, the commercial entitlement will expire. Access to customer downloads, future product updates, ticket-based support, and other commercial benefits associated with that entitlement may end at that time.
Once an entitlement has expired, it cannot be renewed as a continuation of the previous entitlement. If you later wish to regain access to GeJay Media commercial benefits, you will need to purchase a new applicable template entitlement or All Access membership at the price and terms then available.
An installed GeJay Media template will not be remotely disabled merely because the applicable commercial entitlement has expired.
Development and staging installations associated with an expired entitlement do not create a continuing entitlement to new downloads, updates, or support.
Expiration does not retroactively remove rights independently granted under an applicable open-source license to copies of software lawfully received while the entitlement was active.
18.6 Open-Source Rights
The website allowances described in this section govern GeJay Media's commercial services and entitlements, including access to downloads, updates, and ticket-based support.
They are not intended to restrict rights independently granted to GPL-licensed code under an applicable open-source license.
Nothing in this section should be interpreted as imposing a one-site or three-site restriction on rights that the applicable GPL independently grants to copies of GPL-licensed code lawfully received by the customer.
19. Account and Download Access
Access to GeJay Media customer accounts, member-only downloads, updates, support, and other commercial services is personal to the account holder or purchasing organization unless otherwise stated.
You may not share, sell, transfer, or provide account credentials to another person for circumventing purchase, membership, download, update, or support requirements.
Restrictions on account sharing are separate from the redistribution rights that may apply to GPL-licensed software itself.
20. Refunds and Licensing
Refund eligibility is governed by the GeJay Media Refund Policy and any mandatory rights provided by applicable law.
If GeJay Media issues a refund for a template purchase or All Access membership, the commercial entitlement associated with the refunded transaction is terminated.
Following a refund, GeJay Media may disable the customer's access to the user account and to products, downloads, memberships, future updates, ticket-based support, and other commercial benefits associated with the refunded purchase.
Disabling account access does not necessarily result in deletion or anonymization of information associated with the transaction. GeJay Media may retain transaction, taxation, accounting, licensing, fraud-prevention, security, and other records where reasonably necessary or required by applicable law.
A former customer may later purchase a new product, re-establish an eligible membership, or otherwise obtain a new commercial entitlement, at which time account or product access may be restored or re-established as appropriate.
A refund does not purport to retroactively remove rights that cannot legally be revoked under an applicable open-source license with respect to copies of software lawfully received before the refund.
21. Misuse of Commercial Services
GeJay Media may restrict or terminate access to customer accounts, downloads, updates, support, or other commercial services where reasonably necessary because of fraud, unauthorized account sharing, abuse of Site systems, attempts to circumvent commercial access controls, or material violation of applicable terms.
Termination of GeJay Media commercial services does not revoke rights independently granted under an applicable open-source license where those rights cannot lawfully be revoked.
22. No Transfer of Copyright
Except where expressly stated otherwise, purchasing a GeJay Media product or membership provides license rights and commercial entitlements rather than ownership of copyright.
Copyright and other intellectual property rights remain with GeJay Media, applicable open-source contributors, third-party licensors, or other respective rights holders.
23. Changes to This Licensing Policy
GeJay Media may update this Licensing Policy to reflect changes to products, licensing practices, Joomla requirements, open-source licensing considerations, or applicable law.
The "Last updated" date at the top of this page indicates when the policy was most recently revised.
Changes to this policy will not retroactively remove rights already granted under an applicable open-source license or other rights that cannot lawfully be withdrawn.
